1. Quotations
Quotations expire thirty (30) days from the date issued unless otherwise stated. All pricing is in the specified currency on the quotation. Prices are subject to change without notice. Any purchase order issued by the Customer upon an expired quotation may be accepted by Affinité Instruments at its sole discretion. Delivery time provided in quotations is an estimate; a realistic delivery timeline will be provided at the time of order. Our payment terms are strictly enforced.
For DISTRIBUTION PARTNERS, a quotation must be requested to ensure the validity of current pricing. If the quotation is for budget purposes only (not immediate purchase), pricing will be different than the current price list.
2. Price List
If Price List is provided, it is only used for reference only. A quotation must be requested to ensure the validity of current pricing. Prices are subject to change without notice.
3. Taxes and Export Charges
All prices exclude sales, excise, value-added, use, and property (ad valorem) taxes, as well as customs and export charges, which are the responsibility of the buyer/customer unless stated otherwise. Items are shipped under DAP, DDP, or EXW conditions (INCOTERMS® 2020). The buyer/customer should be aware of the costs and risks associated with each of these terms.
4. Payment Terms
Our payment terms are strictly enforced. Payment must be made in accordance with the agreed terms specified in the Quotation. Full payment is typically due upon placing the order or thirty (30) days from the date of invoice, unless other credit terms are agreed to in writing by Affinité Instruments. Title to the goods/products does not pass until they are paid for in full.
5. Overdue Payment
All past due accounts are subject to a 2% per month late payment charge. If any undisputed invoice is not paid within the specified payment terms, Affinité Instruments may decline to make further deliveries of products or provide any type of service on equipment except upon receipt of satisfactory payment of all arrearages in advance of delivery and/or services. Affinité Instruments reserves the right to terminate supply or partnership agreements in the case of extended overdue payments. Additionally, Affinité Instruments may refer extended overdue accounts to a local collection agency, which could result in legal implications for the customer/distribution partner.
6. Delivery
Our delivery times are best estimates, considering the supply chain situation and production capacities. For non-stock items, delivery periods must be individually agreed upon, with written confirmation being decisive. Delays caused by circumstances beyond Affinité Instruments' control, such as strikes, fires, raw material shortages, or other operational disruptions, entitle us to extend the delivery period by the duration of the delay. A delay in delivery does not entitle the buyer to refuse acceptance of the goods, withdraw from the contract, or claim any compensation.
7. Damaged Shipments
Customers must inspect all deliveries for shipping damage immediately upon receipt. They should also check for concealed damage or defects and notify both the carrier and Affinité Instruments within five (5) business days. Retaining all packing materials for inspection is advised. Failure to report defects within this timeframe waives the right to make a claim, including under warranty. Affinité Instruments may repair damaged goods before considering replacement. Customers must assist in filing claims for mishandling during shipping. If the Customer's carrier is used, they are responsible for filing a claim to cover spare parts and any associated costs such as shipping expenses for Return Manufacturer Authorization (RMA) repair. 8. Training
For first-time remote or in-person installation, end users or distribution partner personnel must contact Affinité Instruments to schedule the installation and training session before installing and operating Affinité Instruments products unless advised otherwise.
All end users and DISTRIBUTION PARTNERS personnel must have adequate updated training in installing, operating, maintaining and have basic troubleshooting knowledge of the equipment before use or conducting independent installation and training.
Affinité Instruments reserves the right to refuse warranty claims if the system is determined to have been misused by untrained personnel.
9. Warranty
Affinité Instruments provides a twelve (12)-month warranty from the date of shipment, ensuring equipment is free from defects in materials and workmanship under normal usage by trained personnel. Upon notice of defects during this period, Affinité Instruments may repair or replace the product at its discretion, free of charge. Warranty extension is available upon request, but settlements of past due account payments are required for processing. Affinité Instruments may decline warranty terms until all arrearages are settled.\
Defective goods can be returned DDP after obtaining a RMA document. Once deemed defective, Affinité Instruments will promptly repair or replace the product under warranty, covering repair/replacement and return shipping expenses. The warranty is void if defects result from unauthorized repairs, improper use or maintenance, disassembly without consent, or failure to upgrade supported software versions.
In more details, the warranty is void if:
(a) defects in materials or workmanship or damages result from repairs or alterations which have been made or attempted other than by Affinité Instruments or without Affinité Instruments’ consent.
(b) the damage is due to improper use, improper product integration or improper maintenance including failure to upgrade to the supported software versions.
(c) attempt of disassembling or
(d) disassembling of the product without Affinité Instruments’ consent.
10. Returning the defective unit
Do not return any hardware until Affinité Instruments issues you an RMA number.
Return the defective unit within 10 business days upon obtaining RMA number. Units not returned within 10 business days are invoiced at full list price for the replacement unit.
The customer or distribution partner is responsible for properly package all shipments. Any damage sustained during shipping as a result of insufficient or improper packaging is invoiced at full list price. Affinité Instruments recommends retaining the packaging material from the original or replacement unit to package the defective unit.
